Nicholas was the son of Nicholas Bayly (1749-1814) of Plas Newydd, Anglesea, Wales, M.P. for Anglesea 1784-90 and colonel in the West Middlesex Militia, and his wife Frances, née Nettlefold of Kent. He was a nephew of the earl of Uxbridge.

Family influence helped to procure him a commission without purchase as ensign in the New South Wales Corps in 1797. He sailed as commander of the guard in the ship Barwell and, claiming to have discovered a plot to seize the ship, placed his subordinate, Ensign Bond, under arrest. When they arrived at Sydney Major Joseph Foveaux intervened and Bond was allowed to resign rather than stand his trial.

By 1814, his home was built at Bayly Park and was described as 'a noble mansion with gardens and cultivated grounds'. During the 1820s Bayly had at least 19 convicts working for him at Bayly Park. Macquarie considered Bayly, Marsden and John Blaxland as 'settlers who are notorious throughout the Colony for being very severe, arbitrary masters and embroiled in constantly in quarrels...' Macquarie eventually dismissed Bayly of his public duties whereupon Bayly spent considerable time at Bayly Park, now about 2500 acres, with his family of eight children. He died in 1823 and the farm was put up for sale. Bayly Park was purchased in 1826 by Richard Jones who renamed the property Fleurs.
